Forceworks Partner Referral Agreement

Welcome Partner! This agreement explains how our referral program works - a simple way for Microsoft partners to earn commissions by referring clients who need our specialized services.

Important Things to Know First

By registering as a referral partner or making your first referral, you're agreeing to these terms. If you're signing up for a company, you need permission to do so.

1. How Our Referral Program Works

1.1 What You Do

As a referral partner, you:

  • Identify clients who could benefit from our services
  • Make warm introductions (with the client's permission)
  • Register your referrals in our partner portal
  • Stay involved during the sales process if desired

1.2 What We Do

Once you refer a client, we:

  • Acknowledge your referral within 2 business days
  • Keep you updated on progress
  • Handle all sales and service delivery
  • Pay you commissions for successful referrals
  • Protect your client relationships

1.3 Services You Can Refer

You earn commissions for referring clients to:

  • Works Subscriptions - Our comprehensive managed service
  • Development-Only Subscriptions - For organizations needing development coordination

2. Commission Structure

2.1 What You Earn

For Subscription Services (Works or Development-Only):

  • First Year: 10% of all subscription fees paid by client
  • Renewals: 5% of subscription fees for the second year
  • Ongoing: 2.5% of subscription fees for years 3-5

2.2 Commission Example

Example: You refer a client who signs up for Premium Class Works at $8,000/month

  • Year 1: You earn $800/month (10% × $8,000) = $9,600 annually
  • Year 2: You earn $400/month (5% × $8,000) = $4,800 annually
  • Years 3-5: You earn $200/month (2.5% × $8,000) = $2,400 annually × 3 years = $7,200
  • Total 5-Year Commission: $21,600

2.3 Payment Terms

  • Commissions calculated monthly
  • Paid within 30 days after client payment received
  • Minimum payout: $500 (smaller amounts accumulate)
  • Payments via ACH only
  • You're responsible for your own taxes

3. Referral Rules

3.1 Valid Referrals

For a referral to be valid:

  • Client must be new to Forceworks (not a current or past customer)
  • You must register the referral BEFORE we have direct contact
  • Client must sign up within 6 months of referral
  • Client must sign up for minimum term of 6 months
  • Client must mention you as the referrer

3.2 Protected Referrals

Once you register a valid referral:

  • It's protected for 6 months
  • No other partner can claim that client
  • Extensions available for active opportunities

3.3 Conflicts

If multiple partners refer the same client:

  • First to register in the portal wins
  • Unless client specifically credits a different partner
  • We'll help resolve disputes fairly

4. Your Responsibilities

4.1 Ethical Referrals

You agree to:

  • Only refer clients who genuinely need our services
  • Be honest about our capabilities
  • Not make promises on our behalf
  • Respect client confidentiality
  • Avoid conflicts of interest

4.2 What You CAN Say

  • “Forceworks specializes in Microsoft Business Applications support”
  • “They offer comprehensive managed services”
  • “I'll introduce you to discuss your specific needs”
  • Share our marketing materials

4.3 What You CAN'T Say

  • Don't quote prices (these vary by client needs)
  • Don't promise specific outcomes
  • Don't claim to be our employee or exclusive partner
  • Don't modify our marketing materials

5. Our Partnership Standards

5.1 Good Standing Requirements

To remain an active referral partner:

  • Maintain your own Microsoft partnership (if applicable)
  • Follow Microsoft's partner code of conduct
  • Make at least one referral annually
  • Respond to our occasional check-ins

5.2 Using Our Resources

We'll provide:

  • Marketing materials and case studies
  • Partner portal access
  • Monthly All-Partner calls to share ideas
  • Dedicated partner support contact

5.3 Co-Marketing Opportunities

Active partners may access:

  • Joint webinars
  • Co-branded content
  • Success story features
  • Speaking opportunities

6. Legal Protections

6.1 Independent Relationship

We're independent businesses. This doesn't create:

  • Employment relationship
  • Exclusive partnership
  • Joint venture
  • Agency relationship

You can refer clients to other service providers too.

6.2 Confidentiality

We'll both keep confidential information private, including:

  • Client details and needs
  • Pricing and proposals
  • Business strategies
  • Technical information

6.3 Non-Solicitation

For referred clients:

  • We won't bypass you to work with them directly during the 6-month protection period
  • We won't encourage them to leave you
  • You won't interfere with our service delivery
  • You won't encourage them to cancel our services

6.4 Liability

  • Each party is responsible for their own actions
  • No liability for lost profits or indirect damages
  • Total liability limited to commissions paid in last 12 months

7. Program Management

7.1 Tracking Your Success

Through the partner portal, you can:

  • Register new referrals
  • Track referral status
  • View commission earnings
  • Download payment reports
  • Access marketing resources

7.2 Communication

We'll keep you informed via:

  • Portal notifications for referral updates
  • Monthly commission statements
  • Annual partner surveys

7.3 Program Changes

  • We may update commission rates with 90 days notice
  • Changes apply to new referrals only
  • Existing referrals keep their original terms
  • We'll email you about any changes

8. Termination

8.1 Ending the Partnership

Either party can end this agreement:

  • Anytime with 30 days written notice
  • Immediately for violation of terms
  • Automatically after 12 months of no referrals

8.2 What Happens Next

After termination:

  • You'll receive commissions already earned
  • Existing client relationships continue
  • Ongoing commission payments stop
  • No new referrals can be registered

9. Special Situations

9.1 Client Becomes a Partner

If your referral wants to become a referral partner:

  • They can join the program
  • You still earn commissions on their subscription
  • They can't refer themselves for double commissions

9.2 Acquisition or Transfer

If client is acquired or transfers their subscription:

  • Your commissions continue with the new entity
  • Subject to the new entity accepting our services

9.3 Nonprofit Clients

  • Same commission structure applies
  • Based on actual amounts paid (nonprofit rates)

Getting Started

Join Our Partner Program:

  1. Register at partners.forceworks.com
  2. Complete brief qualification form
  3. Receive portal access within 48 hours
  4. Access marketing materials and training
  5. Start referring qualified clients

Making Your First Referral:

  1. Identify a client who needs our services
  2. Discuss their needs and get permission
  3. Register them in the partner portal
  4. Introduce us via email or Teams
  5. Track progress and earn commissions
